These Terms of Service ("Terms") govern your use of the Fleet Ninja vehicle inspection and fleet management platform ("Service") operated by Deliverimates LLC, doing business as Fleet Ninja ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Fleet Ninja platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Description of Service

Fleet Ninja provides a digital vehicle inspection and fleet management platform. The Service includes:

• Digital vehicle inspection forms with photo documentation.
• AI-powered vehicle damage assessment and analysis.
• Fleet management dashboard with reporting and data export.
• Role-based access for administrators and inspectors.
• SMS text message notifications for inspection alerts and operational updates.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

4. SMS Messaging Terms

By providing your mobile phone number and opting in through the Fleet Ninja platform, you consent to receive SMS text messages from Fleet Ninja related to inspection alerts, vehicle status, and service updates.

• Consent: By entering your phone number in your account settings and enabling SMS notifications, you expressly consent to receive automated text messages from Fleet Ninja.
• Message Frequency: Message frequency varies based on inspection activity, vehicle events, and your notification preferences. You may receive multiple messages per day during periods of high activity.
• Message and Data Rates: Message and data rates may apply. Check with your mobile carrier for details about your messaging plan.
• Opt-Out: You can opt out of SMS messages at any time by replying STOP to any message you receive from us. After opting out, you will receive a confirmation message and will no longer receive SMS notifications. You can re-enable SMS at any time in your account settings.
• Help: For help with SMS messages, reply HELP to any message, or contact us at fleetninja@deliverimates.com.
• Supported Carriers: Our SMS service is supported by most major U.S. carriers. However, we cannot guarantee delivery on all carrier networks. Carriers are not liable for delayed or undelivered messages.
• No Marketing: SMS messages are limited to service-related inspection alerts and operational notifications. We do not send marketing or promotional messages via SMS.

5. User Responsibilities

You agree to:

• Use the Service only for lawful purposes and in accordance with these Terms.
• Provide accurate vehicle and inspection information.
• Not attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems.
• Not use the Service to collect or store data in violation of any applicable law or regulation.
• Not resell, redistribute, or sublicense access to the Service without our prior written consent.

6. Data Ownership

You retain ownership of all data you provide to or generate through the Service, including inspection records, photos, and reports. By using the Service, you grant us a limited license to process and store your data solely for the purpose of providing the Service to you.

7. Service Availability

We strive to maintain high availability of our Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you in advance of planned downtime.

8. Intellectual Property

The Service, including its design, features, and content (excluding your data), is owned by Fleet Ninja and protected by applicable intellectual property laws. You may not copy, modify, or create derivative works based on the Service.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Service will be error-free, secure, or available at all times.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• AI-powered damage assessments are provided as informational guidance only and should not be relied upon as a substitute for professional inspection.

10. Indemnification

You agree to indemnify and hold harmless Fleet Ninja and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may cancel your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

12. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in Contra Costa County, California.
